These Author Terms and Conditions ("Agreement" or "T&C") constitute a legally binding agreement between:
Legal Sandbox Georgia LLC, a limited liability company registered under the laws of Georgia, Registration Number: 405713768, with its registered office at Tbilisi, Agmashenebeli Alley N240, Georgia (hereinafter referred to as the "Platform," "We," "Us," or "Our")
AND
The individual accepting these terms (hereinafter referred to as the "Author" or "You")
WHEREAS the Platform operates legal.ge, an online marketplace connecting legal and professional service providers with clients seeking such services; and
WHEREAS the Author wishes to create and publish blog posts and articles on the Platform;
NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth, the parties agree as follows:
1.1 In this Agreement, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:
"Account" means the registered user account created by the Author on the Platform, providing access to the Author Dashboard and associated features.
"Author Dashboard" means the dedicated interface accessible to Authors for managing posts, viewing analytics, and editing profile information.
"Author Profile" means the Author's public-facing profile page displaying biographical information, photo, and published posts.
"Author Translations" means the localized versions of Author profile information in Georgian, English, and Russian.
"Content" means all text, images, documents, blog posts, articles, and other materials created, uploaded, or published by the Author on the Platform.
"Draft" means Content that has been created but not yet submitted for publication.
"Featured Position" means the prominent display positions (1-10) on the news page, assigned by Platform administrators.
"Pending" means Content that has been submitted for review but not yet approved for publication.
"Platform" means the legal.ge website, mobile applications, and all associated services, tools, and features operated by Legal Sandbox Georgia LLC.
"Post" means a blog post or article created by the Author on the Platform.
"Posting Function Rulebook" or "Rulebook" means the binding rules document governing all Posting activity on the Platform, as may be amended from time to time, incorporated into this Agreement by reference.
"Published" means Content that has been approved and is publicly visible on the Platform.
"Rich Text Editor" means the Tiptap-based content editing interface provided by the Platform.
"SEO Metadata" means search engine optimization fields including meta titles, descriptions, keywords, and social sharing information.
"Specialist" means an individual providing professional services on the Platform, either independently (Solo Specialist) or affiliated with a Company (Company Specialist).
"Trusted Author" has the meaning given in Rulebook Article 5.
"User Terms and Conditions" means the general terms governing all registered users of the Platform.
"Verification" means the Platform's review and approval process for Author profiles before publication.
2.1.1 By submitting an Author application, accepting Author status, or accessing Author features on the Platform, You acknowledge that You have read, understood, and agree to be bound by this Agreement in its entirety.
2.1.2 If You do not agree to any provision of this Agreement, You must not apply to become an Author or use Author features on the Platform.
2.1.3 This Agreement is supplementary to the User Terms and Conditions, which continue to govern Your general use of the Platform. In case of conflict between this Agreement and the User Terms and Conditions regarding Author-related matters, this Agreement prevails.
2.1.4 This Agreement incorporates by reference the Platform's general Terms of Service and Privacy Policy.
2.1.5 This Agreement also incorporates by reference the Posting Function Rulebook, which forms a binding part of this Agreement and governs all Author Posting activity. Amendments to the Posting Function Rulebook are governed by Rulebook Article 18 and may take effect immediately upon publication, subject to re-consent procedures specified therein. By accepting this Agreement, the Author also accepts the Posting Function Rulebook in force from time to time.
2.2.1 To become an Author, You must:
(a) Be at least eighteen (18) years of age;
(b) Have legal capacity to enter into binding contracts under Georgian law;
(c) Maintain a valid, verified Account on the Platform;
(d) Provide accurate, current, and complete application information;
(e) Maintain a valid email address for Platform communications;
(f) Not have been previously banned from the Platform or had Author status revoked for cause.
2.2.2 There are no specific professional qualifications required to become an Author. The Platform accepts Authors from various backgrounds.
2.3.1 The Author application process consists of:
(a) Submission of Author application through the Platform;
(b) Completion of required profile information (Georgian language required; English and Russian optional);
(c) Platform review of the application;
(d) Approval or rejection at the Platform's sole discretion.
2.3.2 The Platform applies subjective vetting criteria when evaluating Author applications. The Platform is not required to disclose its evaluation criteria.
2.3.3 If Your application is rejected:
(a) The Platform is not required to provide reasons;
(b) There is NO waiting period before reapplication;
(c) You may resubmit with corrections or additional information at any time.
2.3.4 Verification approval does not constitute Platform endorsement of Your expertise, qualifications, or the accuracy of Your Content.
2.4.1 Before publishing, Authors must complete the following profile elements:
(a) Full name in Georgian (required);
(b) Biography in Georgian (required);
(c) URL slug in Georgian (required);
(d) Profile photo (required);
(e) English and Russian translations (optional, may be added by Author or Platform).
2.4.2 Upon verification, Authors receive a public profile page accessible at:
/ka/authors/{slug}/en/authors/{slug}/ru/authors/{slug}2.5.1 Author is a separate, distinct role that may be held concurrently with other Platform roles.
2.5.2 If You are also a Specialist (Solo or Company):
(a) Your Author profile may fetch data from Your Specialist profile;
(b) Both roles remain independently governed by their respective Terms and Conditions;
(c) Content created as an Author is governed by this Agreement.
2.5.3 Holding Author status does not automatically grant or affect any other role status.
3.1.1 An Author is a content creator who has been granted the ability to write, manage, and publish blog posts and articles on the Platform.
3.1.2 The Author role is a voluntary, unpaid contribution to the Platform. Authors do not receive monetary compensation for their Content.
3.1.3 The Platform may implement an Author donation feature in the future, allowing readers to support Authors financially. Such feature will be governed by separate terms when implemented.
3.2.1 The Platform provides a publishing service. The Platform:
(a) Provides the technical infrastructure for content creation and publication;
(b) May add translations of Content to English and Russian;
(c) May optimize SEO metadata for Content;
(d) May assign Featured Positions to Content;
(e) May edit SEO/OG metadata but NOT the substantive Content itself;
(f) Reserves the right to reject, unpublish, or archive Content.
3.3.1 THE PLATFORM DOES NOT ENDORSE, VERIFY, OR VOUCH FOR THE ACCURACY OF ANY AUTHOR CONTENT.
3.3.2 Publication of Content does not constitute Platform approval of the views, opinions, or information contained therein.
3.3.3 Readers independently assess Content based on their own judgment.
3.4.1 Subject to verification, Authors have access to:
(a) Author Dashboard: Interface for managing posts and viewing analytics;
(b) Rich Text Editor: Tiptap-based editor with formatting capabilities;
(c) Post Management: Ability to create, edit, save drafts, submit, and delete own posts;
(d) Media Upload: Ability to upload images for posts and profile;
(e) Analytics: View counts and engagement metrics for own posts (private to Author);
(f) Profile Management: Edit Author profile information and translations.
4.1.1 Authors' permissions to create, edit, submit, publish, and manage Posts are governed by the Posting Function Rulebook, Article 3 (Role Permissions Matrix), incorporated into this Agreement by reference.

4.1.3 "Trusted Author" status, including criteria for acquisition, operation, and revocation, is governed by Rulebook Article 5. A Trusted Author may publish directly without Pending review.
4.2.1 Each Post includes:
(a) Title (required) — Post headline;
(b) Excerpt (required) — Short summary for display cards;
(c) Content (required) — Full article body in HTML format;
(d) Featured Image (optional) — Main image for the post;
(e) SEO Fields (optional) — Meta title, description, keywords;
(f) Social Fields (optional) — Open Graph title, description, image, hashtags.
4.3.1 All Author Posts follow the lifecycle defined in Rulebook Article 4: Draft → Pending → Published → Archived.
4.3.2 Trusted Authors (Rulebook Article 5) may publish directly without Pending status.
4.3.3 Status definitions, transition rules, edit-during-pending lockout, and archived-Post handling are governed by Rulebook Articles 4 and 9.
4.4.1 The Platform's rights to reject Posts and to edit Post metadata (SEO, OG, slug, category, Featured Position) without Author approval are governed by Rulebook Article 4.3.4 and Article 3 (Role Permissions Matrix).
4.4.2 The Platform shall not edit substantive content (title, excerpt, body text, Author-provided translations) without Author consent, per Rulebook Article 4.5.4.
4.5.1 Translations and multilingual display of Author Content are governed by Rulebook Article 11.
4.5.2 The Author acknowledges that:
(a) The Platform does not provide translations as a service. The Platform provides a translation tool (currently Google Translate API) that the Author may invoke;
(b) Where the Author invokes the translation tool, the output is treated as the Author's own content and the Author is responsible for its accuracy and quality;
(c) No "auto-translated" label is displayed; the Author bears full responsibility for all language versions of their Posts;
(d) Where a Post exists only in a subset of supported languages, the site falls back to an available language version, per Rulebook Article 11.3.
4.6.1 Content standards, prohibited content categories, originality and republication rules, AI-generated content provisions, and plagiarism consequences are governed by Rulebook Article 10.
4.6.2 All Author Content must comply with:
(a) Applicable Georgian law;
(b) The Platform's Content Policy;
(c) Third-party intellectual property rights;
(d) Applicable professional standards (where any apply to the Author);
(e) Platform Ethics Standards (Article 7).
4.6.3 Authors may publish Content that has appeared elsewhere prior, subject to the warranties in Rulebook Article 10.3.2 and 12.3.
4.7.1 Reader Reactions to Author Posts are governed by Rulebook Article 7. The Author may view aggregate Reaction counts via the Author Dashboard but may not view individual reactor identity.
4.7.2 Reader Reports of Author Posts are governed by Rulebook Article 8 and processed through Moderator review.
5.1.1 The Author retains full ownership of all original Content they create and publish on the Platform.
5.1.2 This Agreement does not transfer ownership of Content to the Platform.
5.2.1 By submitting any Post on the Platform, the Author grants the Platform the worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable license set forth in Rulebook Article 12.2.
5.2.2 The Author acknowledges that this license:
(a) Authorizes the Platform to share, distribute, excerpt, and adapt the Post on social media platforms, in newsletters, in advertisements, and through any other distribution channel for promoting the Platform and/or the Post;
(b) Survives termination of this Agreement, account closure, and any archival of the Post;
(c) Permits sublicensing to third parties as necessary for the foregoing rights;
(d) Applies to all language versions of a Post, including those produced via the Platform's translation tool.
5.2.3 This Agreement does not transfer ownership of Author Content to the Platform. The Author retains ownership subject only to the license granted under Rulebook Article 12.2.
5.3.1 By default, this license is NON-EXCLUSIVE. Authors may publish the same Content elsewhere (personal blogs, other platforms, publications).
5.3.2 The Platform may request exclusive rights for specific Content by separate written agreement. Such exclusivity is not required and is subject to negotiation.
5.3.3 When the Author republishes Content elsewhere that was originally published on legal.ge, the Author shall acknowledge legal.ge as the primary source, per Rulebook Article 12.2.3.
5.4.1 Upon the Author's departure from the Platform, voluntary or otherwise:
(a) The license granted to the Platform under Rulebook Article 12.2 continues perpetually;
(b) The Author may, at the time of offboarding, elect either to (i) download and archive their published Posts, or (ii) leave their published Posts visible with author attribution preserved as anonymous or "former Author";
(c) Voluntary archival post-departure is governed by Rulebook Article 9.3.1(a);
(d) Posts archived for policy violation are retained per Rulebook Article 9.3.1(b) and may not be deleted upon Author request.
5.4.2 Where the Author's status is suspended for misconduct, their Posts are reviewed by a Moderator before any unpublishing action, per Rulebook Article 17.
5.5.1 The Author grants the Platform the right to use their:
(a) Name and professional title;
(b) Profile photograph;
(c) Biography;
(d) Published Content excerpts
for Platform marketing materials, website content, social media, and promotional purposes.
5.5.2 This license continues during the Author's active participation on the Platform and may continue for Content that remains published after departure.
5.6.1 Authors may request removal of specific published Content at any time by contacting contact@legal.ge.
5.6.2 For Authors in good standing, the Platform will honor removal requests within thirty (30) days.
5.6.3 The Platform reserves the right to retain anonymized or archived versions for internal records.
6.1.1 The Author is solely responsible for the accuracy, completeness, and truthfulness of all Content they publish.
6.1.2 The Platform does NOT verify or fact-check Author Content before publication.
6.1.3 The Author must ensure all statements of fact in their Content are accurate and can be substantiated.
6.2.1 If Content discusses legal topics, the Author is responsible for including appropriate disclaimers indicating that the Content:
(a) Is for informational and educational purposes only;
(b) Does NOT constitute legal advice;
(c) Should not be relied upon as a substitute for professional legal consultation;
(d) May not apply to the reader's specific circumstances.
6.2.2 The Platform does NOT automatically add legal disclaimers. This is the Author's responsibility.
6.3.1 The Author represents and warrants that all Content is:
(a) Original work created by the Author; OR
(b) Properly licensed or authorized for use; OR
(c) In the public domain; OR
(d) Used under applicable fair use/fair dealing provisions with proper attribution.
6.3.2 The Author is solely responsible for:
(a) Ensuring Content does not infringe any third-party copyright;
(b) Obtaining necessary permissions for any third-party materials;
(c) Providing proper attribution for quoted or referenced materials;
(d) Ensuring images used are properly licensed or owned.
6.3.3 The Platform does NOT conduct originality checks or plagiarism screening.
6.4.1 Authors shall NOT publish Content that:
(a) Infringes intellectual property rights of third parties;
(b) Is defamatory, libelous, or contains false statements of fact about identifiable persons;
(c) Is obscene, pornographic, or inappropriate;
(d) Promotes illegal activities;
(e) Contains hate speech or discrimination;
(f) Violates privacy rights of third parties;
(g) Contains malware, viruses, or harmful code;
(h) Is spam or primarily promotional in nature;
(i) Violates any applicable law or regulation.
6.5.1 If the Platform receives a takedown request from a third party claiming copyright infringement or other legal violation:
(a) The Platform may remove or disable access to the Content;
(b) The Platform will notify the Author of the takedown request;
(c) The Author may submit a counter-notice if they believe the takedown is unjustified;
(d) The Platform will follow applicable legal procedures.
6.5.2 Repeated takedown requests against an Author may result in revocation of Author status.
7.1.1 The Platform Ethics Standards establish baseline conduct requirements for all Authors.
7.1.2 These standards apply to all Content and Author conduct on the Platform.
7.2.1 Honesty and Accuracy
(a) Authors shall be truthful in all Content;
(b) Authors shall not knowingly publish false or misleading information;
(c) Authors shall correct errors promptly when discovered;
(d) Authors shall clearly distinguish between fact and opinion.
7.2.2 Respect for Others
(a) Authors shall treat readers, other Authors, and Platform staff with respect;
(b) Authors shall not engage in personal attacks or harassment;
(c) Authors shall respect diverse viewpoints and perspectives;
(d) Authors shall not discriminate based on protected characteristics.
7.2.3 Intellectual Integrity
(a) Authors shall properly attribute sources and quotations;
(b) Authors shall not plagiarize or misappropriate others' work;
(c) Authors shall respect intellectual property rights;
(d) Authors shall disclose conflicts of interest where relevant.
7.2.4 Professional Responsibility
(a) Authors who are also licensed professionals (attorneys, etc.) shall comply with applicable professional conduct rules;
(b) Authors shall not provide specific professional advice through Content;
(c) Authors shall include appropriate disclaimers as required.
7.3.1 Violations of Ethics Standards may result in:
(a) Content removal or unpublication;
(b) Warning to the Author;
(c) Temporary suspension of Author privileges;
(d) Permanent revocation of Author status;
(e) Reporting to relevant professional regulatory bodies (where applicable);
(f) Legal action where appropriate.
7.3.2 The Platform will implement a formal warning system. Until implemented, the Platform reserves discretion in addressing violations.
8.1.1 THE AUTHOR BEARS SOLE AND FULL LIABILITY FOR ALL CONTENT THEY PUBLISH.
8.1.2 The Author is solely responsible for:
(a) The accuracy and truthfulness of Content;
(b) Compliance with applicable laws and regulations;
(c) Ensuring Content does not infringe third-party rights;
(d) Ensuring Content does not defame or harm others;
(e) Including appropriate disclaimers;
(f) Any claims arising from reliance on Content by readers.
8.2.1 THE PLATFORM EXPRESSLY DISCLAIMS ALL LIABILITY FOR:
(a) The accuracy, completeness, or reliability of Author Content;
(b) Any advice or information contained in Author Content;
(c) Any harm or damage arising from reliance on Author Content;
(d) Any third-party claims arising from Author Content;
(e) Any professional, legal, or financial consequences of Author Content.
8.2.2 The Platform is liable only for:
(a) Accurate display of Content as submitted by the Author;
(b) Translations created by the Platform (limited to translation accuracy).
8.3.1 The Author agrees to indemnify, defend, and hold harmless the Platform, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
(a) Content published by the Author;
(b) Any breach of this Agreement by the Author;
(c) Any violation of law by the Author;
(d) Any infringement of third-party rights by the Author;
(e) Any defamation or harm caused by Author Content;
(f) Any misrepresentation by the Author.
8.3.2 This indemnification obligation survives termination of this Agreement.
8.4.1 TO THE MAXIMUM EXTENT PERMITTED BY GEORGIAN LAW, THE PLATFORM'S TOTAL LIABILITY TO THE AUTHOR FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED GEORGIAN LARI (100 GEL).
8.4.2 IN NO EVENT SHALL THE PLATFORM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9.1.1 This Agreement becomes effective upon Platform approval of the Author application and continues until terminated in accordance with this Article.
9.2.1 The Author may voluntarily resign Author status at any time by:
(a) Submitting a written request to contact@legal.ge; OR
(b) Requesting status change through Platform settings.
9.2.2 Upon voluntary resignation:
(a) Author status ends;
(b) User Account is retained;
(c) Published Content remains on the Platform unless removal is requested;
(d) The Author may request Content removal per Section 5.6.
9.2.3 No notice period is required for voluntary resignation.
9.3.1 Author status may lapse due to extended inactivity.
9.3.2 The Platform will notify the Author before status lapse and provide opportunity to resume activity.
9.3.3 Specific inactivity thresholds will be communicated when implemented.
9.4.1 The Platform may revoke Author status for:
(a) Publishing inaccurate or misleading Content;
(b) Copyright infringement or plagiarism;
(c) Violation of Platform Ethics Standards;
(d) Violation of this Agreement;
(e) Repeated takedown requests;
(f) Conduct damaging to Platform reputation;
(g) Any other reason the Platform deems necessary.
9.4.2 The Platform will implement a warning system for violations. Until implemented, the Platform may revoke status with or without prior warning.
9.4.3 Upon revocation:
(a) Author Dashboard access ends immediately;
(b) User Account may be retained or terminated depending on severity;
(c) Published Content treatment is at Platform's discretion (may remain, be removed, or be anonymized).
9.5.1 Upon any form of termination:

9.6.1 The following provisions survive termination of this Agreement:
10.1.1 The parties agree to attempt to resolve any dispute through good-faith communication before initiating formal proceedings.
10.1.2 For complaints or disputes, contact the Platform at contact@legal.ge.
10.2.1 For disputes regarding Content decisions (rejection, removal, editing):
(a) Submit a written explanation to contact@legal.ge;
(b) The Platform will review and respond within fourteen (14) days;
(c) Platform decisions regarding Content are final.
10.3.1 If a third party makes a claim regarding Author Content:
(a) The Platform will notify the Author;
(b) The Author is responsible for responding to and resolving the claim;
(c) The Platform may remove or disable Content pending resolution;
(d) The Author shall indemnify the Platform per Article 8.
10.4.1 Disputes that cannot be resolved informally may be brought before the competent courts of Georgia.
10.4.2 Exclusive jurisdiction for all disputes arising from this Agreement lies with Tbilisi City Court, Georgia.
10.4.3 The parties waive any objection to venue in Tbilisi City Court.
11.1 This Agreement shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.
11.2 The Georgian language version of this Agreement prevails in case of any conflict or ambiguity with translations into other languages.
11.3 References to laws and regulations include any amendments, replacements, or successor provisions.
12.1.1 The Platform collects the following data from Authors:
(a) Profile information (name, bio, photo);
(b) Contact information (email);
(c) Content and post history;
(d) Analytics data (view counts, engagement metrics).
12.2.1 Author data is used for:
(a) Profile display and Content attribution;
(b) Platform communications;
(c) Analytics and performance tracking;
(d) Platform improvement;
(e) Marketing (with consent).
12.3.1 The following Author information is publicly visible:
(a) Author name;
(b) Profile photo;
(c) Biography;
(d) Published Content;
(e) Post count.
12.3.2 Analytics (view counts) are private to the Author.
12.4.1 Author data is retained for the duration of Author status.
12.4.2 Upon termination, data retention follows Section 9.5 for Content and standard Platform data retention policies for other data.
12.5.1 Additional details are set forth in the Platform's Privacy Policy, incorporated by reference.
13.1 The Platform reserves the right to amend this Agreement at any time.
13.2 The Platform will notify Authors of material amendments via email.
13.3 Amendments become effective:
(a) For material changes: thirty (30) days after notification;
(b) For non-material changes: immediately upon posting.
13.4 Continued use of Author features after the effective date constitutes acceptance.
13.5 If You do not agree with amendments, Your sole remedy is to resign Author status before the amendments become effective.
14.1 If any provision of this Agreement is held to be invalid, illegal, or unenforceable:
(a) Such provision shall be modified to the minimum extent necessary to make it valid;
(b) If modification is not possible, such provision shall be severed;
(c) The remaining provisions shall continue in full force and effect.
14.2 The invalidity of any provision in one jurisdiction shall not affect its validity in other jurisdictions.
15.1.1 This Agreement, together with the User Terms and Conditions, Privacy Policy, and Cookies Policy, constitutes the entire agreement regarding Author services.
15.1.2 This Agreement supersedes all prior negotiations and agreements relating to the subject matter.
15.2.1 The failure of either party to enforce any provision shall not constitute a waiver.
15.2.2 Any waiver must be in writing to be effective.
15.3.1 You may not assign this Agreement without Platform consent.
15.3.2 The Platform may assign this Agreement to any successor entity.
15.4.1 The relationship between the Platform and the Author is that of independent contractors.
15.4.2 Nothing in this Agreement creates employment, partnership, joint venture, or agency.
15.4.3 Authors are voluntary contributors, not employees or contractors of the Platform.
15.5.1 Author contributions are voluntary and unpaid.
15.5.2 Authors are not entitled to any compensation for Content unless separately agreed in writing.
15.5.3 The Platform may implement a donation feature in the future, governed by separate terms.
15.6.1 Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.
15.7.1 Headings are for convenience only and shall not affect interpretation.
15.8.1 This Agreement is drafted in English. A Georgian translation may be provided.
15.8.2 In case of conflict, the Georgian version shall prevail.

You retain ownership of Your Content but grant the Platform a license to use it;
You bear sole responsibility for the accuracy and legality of Your Content;
You will include appropriate disclaimers in legal-related Content;
You accept that the Platform may reject Content without providing reasons;
You accept the Platform's limitation of liability;
You understand that published Content may remain on the Platform after Your departure unless removal is requested.
