Founding Documents of a Commercial Legal Entity (Article 18)

The law defines the circle: for certifying transactions connected with the creation or reorganisation of an entrepreneurial (commercial) legal entity, founding documents and amendments to them, and also transactions on the basis of which a share in a commercial legal entity is disposed of, the amount of the fee is determined by agreement between the notary and the interested person. This means the sum is a matter of negotiation — but the law sets it a boundary: this fee must not exceed 1000 GEL.

In practice, this norm governs your company’s most frequent notarial facts: founding, reorganisation, amendments to the charter, disposal of a share. The same amount extends to a political party — the certification of a party’s founding documents, whether for creation, reorganisation or amendments to the charter, also costs 18 GEL. For associations, foundations and other non-commercial forms this means the fee is known and computable in advance.

Minutes of a Management Body Meeting (Article 20)

One of the most frequent notarial documents in a company’s routine is the minutes. The law provides: for drawing up minutes on the course of a meeting of the management body of an entrepreneurial legal entity — including meetings held by direct electronic communication means — and on the decisions taken, the amount of the fee is determined by agreement between the notary and the interested person, and this fee must not exceed 500 GEL. The norm plainly reflects modern reality as well — minutes are drawn up for meetings in electronic format too, and the fee rule remains the same.
