These Moderator Terms and Conditions ("Agreement" or "T&C") constitute a legally binding agreement between:
Legal Sandbox Georgia LLC, a limited liability company registered under the laws of Georgia, Registration Number: 405713768, with its registered office at Tbilisi, Agmashenebeli Alley N240, Georgia (hereinafter referred to as the "Platform," "We," "Us," or "Our")
AND
The individual accepting these terms (hereinafter referred to as the "Moderator" or "You")
WHEREAS the Platform operates legal.ge, an online marketplace connecting legal and professional service providers with clients seeking such services; and
WHEREAS the Moderator has entered into an employment relationship with the Platform and wishes to perform content moderation duties on the Platform;
NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth, and as a supplement to the Employment Contract between the parties, the parties agree as follows:
1.1 In this Agreement, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:
"Account" means the registered user account created by the Moderator on the Platform, providing access to the Moderator Dashboard and associated features.
"Archived" means Content that has been removed from public visibility but retained in Platform records.
"Author" means a User who has been granted the ability to create and publish blog posts and articles on the Platform, governed by the Author Terms and Conditions.
"Cache Clear" means the Platform function that clears cached content across the Platform and CDN to ensure fresh content delivery.
"Confidential Information" means all non-public information relating to the Platform, its operations, users, content, business strategies, technical specifications, and any other information designated as confidential or that a reasonable person would understand to be confidential.
"Content" means all text, images, documents, posts, profile information, and other materials created, uploaded, or published on the Platform by any user.
"Content Policy" means the internal Platform standards and guidelines governing content approval, rejection, and moderation decisions.
"Draft" means Content that has been created but not yet submitted for publication.
"Employment Contract" means the separate employment agreement between the Moderator and the Platform governing the employment relationship, compensation, benefits, discipline, termination, and related employment matters.
"Featured Position" means the prominent display positions (1-10) on the news page, assigned by Platform administrators.
"Moderator Dashboard" means the dedicated interface accessible to Moderators at /[locale]/moderator-dashboard for performing moderation duties.
"NDA" means the separate Non-Disclosure Agreement or Confidentiality Agreement executed between the Moderator and the Platform.
"Pending" means Content that has been submitted for review but not yet approved for publication.
"Platform" means the legal.ge website, mobile applications, and all associated services, tools, and features operated by Legal Sandbox Georgia LLC.
"Post" means a blog post, article, or news item on the Platform.
"Posting Function Rulebook" or "Rulebook" means the binding rules document governing all Posting activity on the Platform, as may be amended from time to time, incorporated into this Agreement by reference.
"Reviews & Ratings Function Rulebook" means the binding rules document governing all Reviews and Ratings activity on the Platform, as may be amended from time to time, incorporated into this Agreement by reference.
"Inquiries & Messaging Function Rulebook" means the binding rules document governing all Inquiry submission, processing, and resolution on the Platform, as may be amended from time to time, incorporated into this Agreement by reference.
"Subscriptions & Billing Function Rulebook" means the binding rules document governing all Subscription enrollment, billing, and lifecycle on the Platform, as may be amended from time to time, incorporated into this Agreement by reference.
"Organisation Terms and Conditions" or "Organisation T&C" means the binding rules document governing Organisations as institutional entities on the Platform, as may be amended from time to time, incorporated into this Agreement by reference for matters of Organisation membership.
"Published" means Content that has been approved and is publicly visible on the Platform.
"SEO Metadata" means search engine optimization fields including meta titles, descriptions, keywords, and social sharing information (Open Graph fields).
"Specialist" means an individual providing professional services on the Platform, either independently (Solo Specialist) or affiliated with a Company (Company Specialist).
"SUPER_ADMIN" means the Platform's highest-level administrative role with full system access and authority.
"Trainer" means a User who has been approved to create and deliver educational training courses on the Platform, governed by the Trainer Terms and Conditions.
"Trainer Verification Request" means an application submitted by a Specialist to become a Trainer, pending Platform review.
"User" means any individual with a registered account on the Platform.
"User Terms and Conditions" means the general terms governing all registered users of the Platform.
2.1.1 By accepting the Moderator role, accessing the Moderator Dashboard, or performing any moderation duties on the Platform, You acknowledge that You have read, understood, and agree to be bound by this Agreement in its entirety.
2.1.2 If You do not agree to any provision of this Agreement, You must not accept the Moderator role or perform moderation duties on the Platform.
2.1.3 This Agreement is supplementary to and does not replace the Employment Contract between You and the Platform. In case of conflict between this Agreement and the Employment Contract regarding employment-related matters (compensation, benefits, discipline, termination, liability), the Employment Contract prevails.
2.1.4 This Agreement incorporates by reference:
(a) The Platform's general Terms of Service;
(b) The Platform's Privacy Policy;
(c) The Employment Contract;
(d) The NDA;
(e) The Content Policy (as amended from time to time).
2.1.4 This Agreement also incorporates by reference the Posting Function Rulebook, which forms a binding part of this Agreement and governs the Moderator's day-to-day Posting moderation responsibilities. The Posting Function Rulebook is supplementary to the Employment Contract and the Moderator's duty to comply with internal Content Policy directives. Amendments to the Posting Function Rulebook are governed by Rulebook Article 18.
2.1.5 This Agreement also incorporates by reference the Reviews & Ratings Function Rulebook, which forms a binding part of this Agreement and governs the Moderator's responsibilities for Review arbitration and Rating-related enforcement. The Reviews & Ratings Function Rulebook is supplementary to the Employment Contract and the Moderator's duty to comply with internal Content Policy directives.
2.1.6 This Agreement also incorporates by reference the Inquiries & Messaging Function Rulebook, which governs Moderator responsibilities for Inquiry arbitration and message moderation. The Inquiries & Messaging Function Rulebook is supplementary to the Employment Contract.
2.1.7 This Agreement also incorporates by reference the Subscriptions & Billing Function Rulebook, which governs Subscription matters and limited Moderator authority therein. Subscription disputes are primarily handled by the Platform Finance / Admin team, not Moderators.
2.2.1 To become a Moderator, You must:
(a) Be at least eighteen (18) years of age;
(b) Have legal capacity to enter into binding contracts under Georgian law;
(c) Have entered into a valid Employment Contract with the Platform;
(d) Have executed the NDA;
(e) Maintain a valid, verified Account on the Platform;
(f) Complete any onboarding or training requirements specified by the Platform;
(g) Not have been previously terminated from the Platform for cause.
2.3.1 The Moderator role is assigned by SUPER_ADMIN upon commencement of the employment relationship.
2.3.2 Upon role assignment:
(a) You will receive notification of the role change;
(b) You will be redirected to the Moderator Dashboard;
(c) You must accept this Agreement before accessing moderation features;
(d) Moderation access is granted only upon acceptance.
2.3.3 Role assignment does not constitute Platform endorsement of Your professional qualifications or expertise in any particular field.
2.4.1 The following documents govern the Moderator relationship, in order of precedence for their respective subject matters:

3.1.1 A Moderator is a Platform employee responsible for content management, quality control, and maintaining Platform standards.
3.1.2 The Moderator role is a staff-level position above regular users but below SUPER_ADMIN in terms of system access.
3.1.3 Moderators operate under the direction and supervision of Platform management and SUPER_ADMIN.
3.2.1 The Platform role hierarchy is:
USER → AUTHOR → SPECIALIST / SOLO_SPECIALIST → COMPANY → TRAINER → MODERATOR → SUPER_ADMIN
3.2.2 Moderator is positioned as a staff role with elevated permissions specifically for content moderation, not general system administration.
3.3.1 The Moderator's primary responsibilities include:
(a) Reviewing and approving or rejecting submitted Content;
(b) Ensuring Content meets Platform quality standards;
(c) Removing spam, inappropriate, or policy-violating Content;
(d) Applying Content Policy consistently and fairly;
(e) Processing pending Content within required timeframes;
(f) Escalating issues to SUPER_ADMIN when appropriate;
(g) Monitoring the trainer verification queue for issues requiring escalation;
(h) Maintaining platform content quality and integrity.
3.4.1 The Platform:
(a) Provides the technical infrastructure and tools for moderation;
(b) Establishes and maintains the Content Policy;
(c) Provides training and guidance on moderation standards;
(d) Monitors Moderator performance and decisions;
(e) Serves as appeal authority (through SUPER_ADMIN) for content decisions.
3.5.1 Moderators do NOT have independent authority to:
(a) Establish or modify content policies;
(b) Make final decisions on disputed content (escalate to SUPER_ADMIN);
(c) Represent the Platform externally;
(d) Access systems or data beyond their defined permissions;
(e) Create Platform content without management directive.
4.1.1 Moderator permissions for Posting actions are governed by the Posting Function Rulebook, Article 3 (Role Permissions Matrix) and Article 17 (Enforcement).

4.1.3 SUPER_ADMIN holds the same Posting capabilities as Moderators for purposes of the Rulebook (Rulebook Article 3.1.2).

4.2.2 Purpose of trainer verification access:
(a) Monitor the verification queue for issues;
(b) Identify suspicious applications for escalation;
(c) Track verification progress;
(d) Assist with preliminary review and flagging.

4.5.1 Moderators shall not edit the substantive content of any Post, including title, excerpt, body text, or Author-provided translations, per Rulebook Article 4.5.4.
4.5.2 Moderators may edit Post metadata, including SEO fields, Open Graph fields, URL slug, category assignment, Featured Position, and Post status, per the Role Permissions Matrix in Rulebook Article 3.
4.5.3 Where substantive content requires correction, the Moderator shall return the Post to Draft and communicate required changes to the creator, per Rulebook Article 10.4.1.
4.6.1 Moderator authority over Reviews and Ratings — including arbitration of Appeals, Flag/Removal decisions, defamation determinations, and enforcement of Reviews Rulebook Article 13 prohibitions — is governed by the Reviews & Ratings Function Rulebook ("Reviews Rulebook"), incorporated into this Agreement by reference.
4.6.2 A summary of Moderator capabilities for the Reviews & Ratings function:

4.6.3 SUPER_ADMIN holds the same Reviews & Ratings capabilities as Moderators and may override Moderator decisions per Reviews Rulebook Article 8.4.3.
4.6.4 Appeal decision target window is fourteen (14) days from filing per Reviews Rulebook Article 8.4.4.
4.6.5 Moderators applying Reviews & Ratings decisions shall observe the same fairness and consistency principles set forth in Section 5.2 of this Agreement.
4.7.1 Moderator authority over Inquiries and Messaging — including Appeal arbitration, message moderation, suspension actions, and refund decisions — is governed by the Inquiries & Messaging Function Rulebook ("Inquiries Rulebook"), incorporated into this Agreement by reference.

4.7.3 SUPER_ADMIN holds the same Inquiries capabilities as Moderators and may override Moderator decisions.
4.7.4 Moderators access messaging only on dispute filing or automated detection flags. Proactive monitoring of messaging is prohibited (Inquiries Rulebook §13.3).
4.7.5 Privilege: Moderators handling messaging shall recognize that Specialist-Client communications are treated as privileged attorney-client communications. Disclosure of messaging content is limited to dispute resolution purposes and Platform internal operations (Inquiries Rulebook §13.2, §16.7).
4.8.1 The Moderator's authority over Subscription matters is limited. The Subscriptions & Billing Function Rulebook ("Subscriptions Rulebook"), incorporated into this Agreement by reference, governs Subscription mechanics; billing disputes are decided by the Platform Finance / Admin team, not by Moderators (Subscriptions Rulebook §17.3).
4.8.2 The Moderator's Subscription-related responsibilities include:

4.8.3 SUPER_ADMIN has full authority over Subscription matters, including overriding any Moderator action.
4.9.1 The Moderator's authority in Organisation matters is limited. The Organisation Terms and Conditions ("Organisation T&C"), incorporated into this Agreement by reference, governs Organisation governance, member discipline, and dispute resolution; Moderators have no general authority to review Organisation governance decisions.
4.9.2 The Moderator's Organisation-related responsibilities include:

4.9.3 SUPER_ADMIN has full authority over Organisation matters, including overriding any Moderator action.
5.1.1 All content moderation decisions shall be made in accordance with:
(a) The Platform's internal Content Policy;
(b) This Agreement;
(c) Applicable Georgian law;
(d) Directives from Platform management.
5.1.2 The Content Policy is maintained internally and may be amended by the Platform from time to time. Moderators will be notified of material changes.
5.2.1 Moderators shall apply the following principles:
(a) Consistency: Apply standards uniformly across all Authors and content types;
(b) Objectivity: Base decisions on policy criteria, not personal preferences;
(c) Fairness: Give Authors reasonable opportunity to correct deficiencies;
(d) Timeliness: Process pending content within required timeframes;
(e) Documentation: Record reasons for rejection when communicating with Authors;
(f) Escalation: Escalate uncertain or sensitive matters to SUPER_ADMIN.
5.3.1 Moderators apply quality standards consistent with the Platform's Content Policy and Rulebook Article 10.
5.3.2 Moderators are not required to fact-check all content, verify professional qualifications, assess legal accuracy of content, or evaluate the merit of opinions expressed.
5.4.1 Moderators shall reject or remove content that violates Rulebook Article 10.2 (Prohibited Content categories) or the Platform's Content Policy.
5.4.2 Specific prohibited content categories include those enumerated in Rulebook Article 10.2.1.

5.5.2 Response timeframes are operational targets, governed by the Employment Contract for purposes of performance evaluation. They are not contractual SLAs owed to Authors or the public.
5.6.1 Moderators shall escalate to SUPER_ADMIN in the following situations:
(a) Legal concerns (potential defamation, copyright claims, regulatory issues);
(b) Author disputes regarding content decisions;
(c) Policy ambiguity or unclear guidance;
(d) Potentially sensitive political, religious, or controversial content;
(e) Content involving Platform policies or operations;
(f) Suspected fraud or serious misconduct by users;
(g) Technical issues affecting moderation capabilities;
(h) Any situation where the Moderator is uncertain of the appropriate action.
5.6.2 When in doubt, escalate. Moderators shall not make final decisions on matters outside their clear authority.
5.7.1 When rejecting content, Moderators shall:
(a) Change the post status to draft;
(b) Communicate the reason for rejection to the Author;
(c) Provide specific guidance on required corrections where possible;
(d) Maintain professional and respectful tone.
5.7.2 Moderators shall NOT:
(a) Make promises regarding future approval;
(b) Provide legal advice to Authors;
(c) Share confidential Platform information;
(d) Engage in arguments or disputes with Authors (escalate instead).
6.1.1 Moderators may create posts on behalf of the Platform only:
(a) Under specific directive from Platform management;
(b) For Platform announcements, updates, or official communications;
(c) Following provided content or guidelines.
6.1.2 Moderators shall NOT create Platform content based on their own initiative or judgment.
6.2.1 All content created on behalf of the Platform:
(a) Is owned entirely by the Platform;
(b) Is attributed to "Legal.ge" or "Platform" rather than the individual Moderator;
(c) May be edited, modified, or removed by the Platform at any time;
(d) Remains Platform property after Moderator's departure.
6.3.1 Moderators may NOT use their moderation access to:
(a) Create personal blog posts or articles;
(b) Publish content under their own name;
(c) Bypass the normal Author application and review process.
6.3.2 If a Moderator wishes to publish personal content, they must follow the standard Author application process (which requires resignation from Moderator role per Article 7).
7.1.1 Moderators may NOT simultaneously hold the following roles:

7.1.2 These restrictions exist to prevent:
(a) Self-dealing (approving own content);
(b) Competitive intelligence abuse (accessing unpublished competitor content);
(c) Bias in moderation decisions.
7.2.1 Moderators MAY simultaneously hold the Trainer role.
7.2.2 When holding both Moderator and Trainer roles:
(a) The Moderator shall not participate in decisions regarding their own Trainer verification or status;
(b) The Moderator shall disclose to SUPER_ADMIN any potential conflicts regarding trainer-related matters;
(c) Both roles are governed by their respective Terms and Conditions.
7.3.1 If a Moderator wishes to become an Author, Specialist, or Company:
(a) The Moderator must first resign from the Moderator role;
(b) Resignation is processed in accordance with the Employment Contract;
(c) Upon role termination, the individual may apply for the desired role through standard processes;
(d) There is no guaranteed approval for the new role.
7.3.2 There is no cooling-off period between Moderator resignation and application for other roles, unless specified in the Employment Contract.
7.4.1 Upon termination of Moderator status (voluntary or involuntary):
(a) The individual's role reverts to USER;
(b) Moderator Dashboard access is immediately revoked;
(c) Post management access is immediately revoked;
(d) The individual is notified of the role change;
(e) Confidentiality obligations continue per the NDA.
8.1.1 The Moderator Ethics Standards establish baseline conduct requirements to maintain trust, integrity, and fairness in content moderation.
8.1.2 These standards apply to all Moderator activities on the Platform.
8.1.3 Violation of Ethics Standards may result in disciplinary action under the Employment Contract.
8.2.1 Impartiality and Fairness
(a) Moderators shall apply content standards impartially to all Authors;
(b) Moderators shall not favor or disfavor content based on personal relationships;
(c) Moderators shall not discriminate based on Author identity, background, or views;
(d) Moderators shall evaluate content on its merits against Platform standards.
8.2.2 Honesty and Integrity
(a) Moderators shall be truthful in all communications;
(b) Moderators shall not manipulate content metrics or statistics;
(c) Moderators shall not falsify records or logs;
(d) Moderators shall report their own errors promptly.
8.2.3 Professional Conduct
(a) Moderators shall treat Authors, users, and colleagues with respect;
(b) Moderators shall not engage in harassment, threats, or abusive conduct;
(c) Moderators shall maintain appropriate professional boundaries;
(d) Moderators shall not disparage the Platform, colleagues, or users.
8.2.4 Confidentiality
(a) Moderators shall protect all Confidential Information;
(b) Moderators shall not disclose unpublished content to unauthorized parties;
(c) Moderators shall not use Confidential Information for personal benefit;
(d) Moderators shall comply with the NDA at all times.
8.2.5 Accountability
(a) Moderators shall take responsibility for their decisions;
(b) Moderators shall document decisions appropriately;
(c) Moderators shall cooperate with reviews and audits;
(d) Moderators shall acknowledge and learn from mistakes.
8.3.1 Moderators shall avoid conflicts of interest and disclose any potential conflicts to SUPER_ADMIN.
8.3.2 Potential conflicts include:
(a) Personal relationship with an Author whose content requires review;
(b) Financial interest in content subject matter;
(c) Prior disputes with an Author;
(d) Competitive interest in content topics (especially if also a Trainer);
(e) Any situation where personal interests may influence professional judgment.
8.3.3 When a conflict exists:
(a) Disclose the conflict to SUPER_ADMIN;
(b) Recuse from the specific decision;
(c) Allow SUPER_ADMIN or another Moderator to handle the matter.
8.4.1 Moderators shall NOT:
(a) Accept bribes, gifts, or favors in exchange for favorable content decisions;
(b) Use moderation access to harass, intimidate, or retaliate against users;
(c) Access content or data without legitimate moderation purpose;
(d) Share login credentials or allow others to use their account;
(e) Circumvent Platform security measures;
(f) Engage in any activity that would bring the Platform into disrepute;
(g) Make public statements on behalf of the Platform without authorization;
(h) Communicate with media or press regarding Platform matters.
8.5.1 Violations of Ethics Standards are addressed under the Employment Contract and may result in:
(a) Verbal or written warning;
(b) Required corrective training;
(c) Temporary suspension;
(d) Termination of employment;
(e) Legal action where appropriate.
9.1.1 The Moderator acknowledges that in performing moderation duties, they will have access to Confidential Information including but not limited to:
(a) Unpublished and draft content from Authors;
(b) Pending trainer verification applications and supporting documents;
(c) Internal Platform processes, procedures, and policies;
(d) User data visible through moderation functions;
(e) Platform business strategies and plans;
(f) Technical specifications and security measures;
(g) Communications with Platform staff marked as confidential.
9.1.2 The Moderator agrees that all non-public information is Confidential Information.
9.2.1 Detailed confidentiality obligations, permitted disclosures, and consequences of breach are governed by the separate NDA executed between the Moderator and the Platform.
9.2.2 This Agreement supplements but does not replace the NDA.
9.2.3 In case of conflict between this Article and the NDA, the NDA prevails.
9.3.1 Confidentiality obligations survive termination of employment and this Agreement for a period of three (3) years following termination.
9.3.2 Certain categories of Confidential Information (trade secrets, security measures) may be subject to longer or indefinite protection as specified in the NDA.
9.4.1 Moderators MAY:
(a) List "Moderator at Legal.ge" on LinkedIn, CV, or similar professional profiles;
(b) Discuss the general nature of their work in personal conversations (without specifics);
(c) Confirm their employment status when necessary.
9.4.2 Moderators shall NOT:
(a) Communicate with media or press regarding Platform matters under any circumstances;
(b) Make public statements on behalf of the Platform;
(c) Share specific content decisions or internal processes;
(d) Disclose information about specific Authors, users, or content.
9.4.3 All media inquiries shall be directed to Platform management.
10.1.1 The Moderator acknowledges and consents that all moderation activities are logged and monitored by the Platform.
10.1.2 Logged activities include but are not limited to:
(a) All content status changes (approvals, rejections, archives);
(b) All content edits (metadata, categories, featured positions);
(c) All login and session activities;
(d) All access to trainer verification data;
(e) All cache clear operations;
(f) Timestamps and duration of all activities.
10.2.1 Monitoring serves the following purposes:
(a) Quality assurance and consistency review;
(b) Performance evaluation;
(c) Security and fraud detection;
(d) Dispute resolution and audit trails;
(e) Training and improvement identification;
(f) Compliance verification.
10.3.1 The Platform may review any Moderator decision at any time.
10.3.2 SUPER_ADMIN may override Moderator decisions.
10.3.3 Patterns in decision-making may be analyzed to ensure consistency with Content Policy.
10.4.1 The Moderator has no expectation of privacy regarding:
(a) Activities performed in the Moderator Dashboard;
(b) Content decisions and actions;
(c) Communications with Authors through Platform systems;
(d) Login times, duration, and patterns.
10.4.2 Personal communications and activities outside Platform systems are not monitored.
11.1.1 In performing moderation duties, the Moderator may access:
(a) Author profile information (name, bio, contact details);
(b) Post content and metadata;
(c) Post history and status changes;
(d) Trainer verification applications and supporting documents;
(e) Aggregate dashboard statistics.
11.2.1 Moderators do NOT have access to:
(a) User passwords or authentication credentials;
(b) Payment information or financial data;
(c) Cabinet data (case/engagement information);
(d) Client-Specialist relationship data;
(e) Private communications between users;
(f) User data beyond what is necessary for content moderation.
11.3.1 The Moderator shall:
(a) Access user data only for legitimate moderation purposes;
(b) Not export, copy, or retain user data outside Platform systems;
(c) Not share user data with unauthorized parties;
(d) Report any suspected data breaches immediately;
(e) Comply with Platform data protection policies.
11.4.1 For purposes of Georgian data protection law and GDPR (where applicable):
(a) The Platform is the Data Controller for all Platform data;
(b) The Moderator processes data as an employee/agent of the Platform;
(c) The Moderator has no independent Data Controller status.
11.5.1 The Platform collects and processes the following data about Moderators:
(a) Profile information (name, email, avatar);
(b) Activity logs and decision history;
(c) Performance metrics;
(d) Login and access records.
11.5.2 This data is used for:
(a) Platform operations;
(b) Performance management;
(c) Security;
(d) Legal compliance.
12.1.1 The Platform and its licensors retain all right, title, and interest in:
(a) The Platform's software, code, design, and architecture;
(b) The Platform's trademarks, logos, and brand elements;
(c) The Moderator Dashboard and moderation tools;
(d) Platform-generated content and documentation;
(e) The Content Policy and internal guidelines;
(f) All improvements, modifications, and derivative works thereof.
12.1.2 This Agreement grants no ownership rights in Platform intellectual property to the Moderator.
12.2.1 All content created by the Moderator on behalf of the Platform (per Article 6):
(a) Is owned entirely by the Platform;
(b) Is created as a work made for hire;
(c) The Moderator waives any moral rights to the extent permitted by law;
(d) The Platform may use, modify, or remove such content without restriction.
12.3.1 The Moderator acquires no intellectual property rights in content they moderate.
12.3.2 Content ownership remains with the respective Authors or the Platform.
12.4.1 Any feedback, suggestions, or ideas provided by the Moderator regarding Platform improvements:
(a) May be used by the Platform without restriction;
(b) Become Platform property;
(c) Do not entitle the Moderator to any compensation beyond their employment compensation.
13.1.1 Liability allocation between the Platform and the Moderator is primarily governed by the Employment Contract.
13.1.2 This Article provides supplementary provisions specific to Platform moderation activities.
13.2.1 The Platform is responsible for:
(a) Providing functioning moderation tools and systems;
(b) Maintaining the Content Policy and guidelines;
(c) Training Moderators on standards and procedures;
(d) Responding to escalated matters;
(e) Third-party claims arising from published content (subject to recourse provisions in Employment Contract).
13.3.1 The Moderator is responsible for:
(a) Applying Content Policy consistently and in good faith;
(b) Making reasonable moderation decisions based on provided guidelines;
(c) Escalating matters beyond their authority or expertise;
(d) Maintaining confidentiality;
(e) Complying with this Agreement and the Employment Contract.
13.4.1 Moderators are expected to exercise reasonable care and judgment in moderation decisions.
13.4.2 Moderators are NOT expected to:
(a) Have legal expertise to evaluate all content;
(b) Fact-check all claims in content;
(c) Identify all potential intellectual property issues;
(d) Predict all possible harms from content.
13.4.3 Good-faith decisions made in accordance with Content Policy, even if later determined incorrect, do not constitute breach of this Agreement.
13.5.1 Indemnification obligations between the Platform and the Moderator are governed by the Employment Contract.
13.5.2 This Agreement does not create additional indemnification obligations beyond those in the Employment Contract.
13.6.1 TO THE MAXIMUM EXTENT PERMITTED BY GEORGIAN LAW AND SUBJECT TO THE EMPLOYMENT CONTRACT, THE PLATFORM'S LIABILITY TO THE MODERATOR ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE MODERATOR'S COMPENSATION FOR THE THREE (3) MONTHS PRECEDING THE CLAIM.
13.6.2 IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT, EXCEPT AS PROVIDED IN THE EMPLOYMENT CONTRACT.
14.1.1 This Agreement becomes effective upon:
(a) SUPER_ADMIN assignment of the Moderator role; AND
(b) The Moderator's acceptance of this Agreement.
14.1.2 This Agreement continues until terminated in accordance with this Article.
14.1.3 The term of this Agreement is coterminous with the Moderator's employment and role status — termination of employment automatically terminates this Agreement.
14.2.1 Termination of the employment relationship is governed by the Employment Contract, including:
(a) Notice periods;
(b) Grounds for termination;
(c) Disciplinary procedures;
(d) Severance (if any);
(e) Offboarding procedures.
14.3.1 The Platform may suspend the Moderator's access to moderation features:
(a) Pending investigation of alleged misconduct;
(b) For security concerns;
(c) During employment-related disputes;
(d) For any other reason the Platform deems necessary.
14.3.2 Suspension of moderation access does not automatically terminate employment; employment status is governed by the Employment Contract.
14.4.1 Upon termination of this Agreement (whether due to employment termination, resignation, or role change):
(a) Moderator Dashboard access is revoked immediately;
(b) All moderation permissions are revoked immediately;
(c) The individual's role reverts to USER (unless banned from the Platform);
(d) All Platform equipment must be returned per the Employment Contract;
(e) Confidentiality obligations continue per the NDA;
(f) Pending moderation tasks are reassigned to other Moderators.
14.5.1 The Moderator has no vested right to continue in the Moderator role.
14.5.2 The Platform may reassign, restructure, or eliminate the Moderator role at any time, subject to the Employment Contract.
14.6.1 The following provisions survive termination of this Agreement:
15.1.1 Disputes relating to employment matters (compensation, benefits, discipline, termination) are resolved in accordance with the Employment Contract.
15.1.2 This Article addresses disputes relating specifically to Platform rules and this Agreement.
15.2.1 The parties agree to attempt to resolve any dispute arising from this Agreement through good-faith communication before initiating formal proceedings.
15.2.2 The Moderator should first raise concerns with SUPER_ADMIN or Platform management.
15.3.1 If informal resolution is unsuccessful, the Moderator may request formal internal review by submitting a written description of the dispute to contact@legal.ge.
15.3.2 The Platform will respond within fourteen (14) days.
15.4.1 Disputes that cannot be resolved internally may be brought before the competent courts of Georgia.
15.4.2 Exclusive jurisdiction for all disputes arising from this Agreement lies with Tbilisi City Court, Georgia.
15.4.3 The parties waive any objection to venue in Tbilisi City Court.
16.1 This Agreement shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.
16.2 The Georgian language version of this Agreement prevails in case of any conflict or ambiguity with translations into other languages.
16.3 References to laws and regulations include any amendments, replacements, or successor provisions.
17.1 The Platform reserves the right to amend this Agreement at any time.
17.2 The Platform will notify Moderators of material amendments via:
(a) Email to the registered email address; and/or
(b) Notice displayed upon login to the Moderator Dashboard.
17.3 Amendments become effective:
(a) For material changes: fourteen (14) days after notification;
(b) For non-material changes: immediately upon posting.
17.4 Continued performance of moderation duties after the effective date of amendments constitutes acceptance of the amended Agreement.
17.5 If the Moderator does not agree with material amendments, they should raise the matter with Platform management. Resignation from the Moderator role is governed by the Employment Contract.
18.1 If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
(a) Such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable;
(b) If modification is not possible, such provision shall be severed from this Agreement;
(c) The remaining provisions shall continue in full force and effect.
18.2 The invalidity of any provision in one jurisdiction shall not affect its validity in other jurisdictions.
19.1.1 This Agreement, together with the Employment Contract, NDA, Content Policy, and Platform Terms of Service, constitutes the entire agreement regarding the Moderator's Platform moderation duties.
19.1.2 For employment matters, the Employment Contract prevails. For confidentiality matters, the NDA prevails. For Platform-specific operational rules, this Agreement prevails.
19.2.1 The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it later.
19.2.2 Any waiver must be in writing and signed by the waiving party to be effective.
19.3.1 The Moderator may not assign or transfer this Agreement or any rights hereunder.
19.3.2 The Platform may assign this Agreement to any successor entity or in connection with a merger, acquisition, or sale of assets.
19.4.1 The relationship between the Platform and the Moderator is that of employer and employee.
19.4.2 The Moderator is not an independent contractor, agent, or partner of the Platform (except as an agent for purposes of data processing).
19.5.1 Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, pandemic, or infrastructure failures.
19.5.2 The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
19.6.1 Article and section headings are for convenience only and shall not affect the interpretation of this Agreement.
19.7.1 This Agreement is drafted in English. A Georgian translation may be provided.
19.7.2 In case of any conflict or ambiguity between the English version and any translation, the Georgian version shall prevail.
20.1.1 Moderators must maintain two-factor authentication (2FA) on their Platform account at all times.
20.1.2 Failure to maintain 2FA may result in immediate suspension of moderation access.
20.2.1 Moderators shall NOT use Virtual Private Networks (VPNs) when accessing moderation functions.
20.2.2 VPN usage may trigger security alerts and result in access suspension.
20.2.3 This restriction exists for security verification and location accountability purposes.
20.3.1 Moderators are responsible for:
(a) Maintaining secure passwords (not shared, regularly updated);
(b) Logging out after moderation sessions;
(c) Not leaving moderation sessions unattended;
(d) Reporting any suspected unauthorized access immediately.
20.3.2 Additional device and location requirements may be specified in the Employment Contract.
20.4.1 Moderators must immediately report:
(a) Suspected unauthorized access to their account;
(b) Suspected data breaches;
(c) Suspicious activities by other users;
(d) Technical vulnerabilities discovered;
(e) Any security concerns.
20.4.2 Reports should be made to SUPER_ADMIN and/or Platform management immediately upon discovery.
